Definition
|

| 1.1 |
“Service”:
Service shall mean access to the Internet Services provided
to the User of such services by Hamdard.Net including
any other related or value added services provided by
Hamdard.Net |
| 1.2 |
“Vendor”
means any establishment, organization or association of
persons, with which Hamdard.Net has entered into this
agreement to distribute its Service. |
| 1.3 |
“User”
means any individual or organization or association of
persons who is provided Service by Hamdard.Net |

| 2 |
TERMS AND CONDITIONS |
|
| 2.1 |
The Vendor shall be entitled to commission on sale of
the cards as per commission schedule. |
| 2.2 |
The Vendor, User and/or Hamdard.Net shall provide details
of their operations and/or provide any other details regarding
the Service as and when required by the Government of
Pakistan or its appointed agents and/or the Pakistan Telecommunications
Authority. In this regard, the Vendor, User and/or Hamdard.Net
may also be required to appear before the Pakistan Telecommunication
Authority and/or the Government of Pakistan or its appointed
agents. |
| 2.3 |
The unused hours will be lapsed after one month. |
| 2.4 |
One
coupon will be issue one time only and the hours will
only be credited if the customer shows the recipet and
coupon. |
| 2.5 |
Hamdard Net will not be responsible for any delay in the
transfer of bonus hours |
| 2.6 |
The vendor will get the bonus hours if the customer purchased
an account within 10 days. |

| 3 |
VENDOR
RESPONSIBILITIES |

| 3.1 |
The
Vendor shall be required to place in prominent places
of its sales outlets / establishments any such Marketing/promotional
material that may be provided by Hamdard.Net from time
to time. The Vendor shall not make any changes in such
material without the written permission of Hamdard.Net |
| 3.2 |
The
Vendor may make any Marketing efforts or produce any other
promotional material not provided by Hamdard.Net, with
the approval of Hamdard.Net. Hamdard.Net has the right
to approve or disapprove any such material Marketing or
otherwise, bearing Hamdard.Net’s name and logo.
Such material may not be distributed or displayed without
the written consent of Hamdard.Net. |

3.3
The Vendor shall sell the service as per the tariff set
by Hamdard.Net. Hamdard.Net has the authority to revise
its tariff rates at any time and shall in such case communicate
the same to the Vendor. |
| 3.4 |
3.4
The Vendor shall ensure compliance with the laws of Pakistan. |

| 4 |
TERM OF THE AGREEMENT |

| 4.1 |
This agreement is valid for an initial period of three
(3) months, starting from the date it is signed, and shall
be automatically renewed for another three (3) months
unless cancelled by any of the parties to this agreement
in writing. |
| 4.2 |
This agreement may be cancelled by any of the two parties
to this agreement by giving a thirty (30) days notice.
However, Hamdard.Net has the right to terminate this agreement
at any time without assigning any reason. If Hamdard.Net
feels that it is in its best business interests to terminate
the agreement without giving prior notice, and no claim
for damages shall lie. |
| 4.3 |
Cyber Net has the right to withdraw the promotional scheme
at any time. |

| 5 |
INDEMNITY & LIMITATION OF LIABILITY |
|
| 5.1 |
The Vendor shall be fully responsible for, and shall fully
indemnify Hamdard.Net in case of any direct or indirect
action by the Vendor or persons acting on the Vendor’s
behalf that causes damage to Hamdard.Net or to third parties
claiming damages from Hamdard.Net. |

| 6 |
LAW |
|
| 6.1 |
This agreement
shall be governed by the laws of Pakistan and the courts
of Karachi shall have exclusive jurisdiction in case of
any matter that may be brought to a court of law as per
the terms and conditions of this agreement. |
